These Terms of Use constitute a legally binding agreement between you ("you" or "your") and the Bread.Hot ("Bread.Hot", "Entities or affiliates" "we", "our" or "us"). The Terms govern your use of all Bread.Hot Services made available to you on or through the Bread.Hot Platform or otherwise. Bread.Hot Services may be developed, maintained, and/or provided by the Bread.Hot Entities or affiliates.
By accessing the Bread.Hot Platform and/or using the Bread.Hot Services, as defined in these Terms, you agree that you have read, understood and accepted these Terms, together with any additional documents. You acknowledge and agree that you will be bound by and will comply with these Terms, as updated and amended from time to time. BY ACCESSING THE BREAD.HOT PLATFORM AND USING BREAD.HOT SERVICES, YOU IRREVOCABLY WAIVE ANY RIGHTS YOU MAY HAVE UNDER ANY APPLICABLE LAW TO PARTICIPATE IN A CLASS ACTION OR SIMILAR MASS ACTION IN ANY JURISDICTION OR BEFORE ANY TRIBUNAL AS STATED IN CLAUSE 27. YOU ALSO EXPRESSLY AGREE THAT ANY CLAIMS AGAINST ANY BREAD.HOT-RELATED ENTITY OR AFFILIATE WILL BE SUBJECT TO MANDATORY, BINDING ARBITRATION AS STATED IN CLAUSE 27.

RISK WARNING
The Bread.Hot Platform and Bread.Hot Services generally involve interacting with user-generated Digital Assets in various ways. Neither the Bread.Hot Entities nor any affiliates are responsible for user-generated Digital Assets that you may, in your sole discretion, engage with on the Bread.Hot Platform or via the Bread.Hot Services. Please ensure that you fully understand the risks involved with user-generated Digital Assets before using the Bread.Hot Platform and Bread.Hot Services.
The value of User-Generated Digital Assets, especially memecoins that are commonly found on the Bread.Hot Platform and as part of the Bread.Hot Services, can fluctuate significantly and there is a material risk of economic loss when buying, selling, holding or investing in any Digital Asset. You should therefore consider whether participating on the Bread.Hot Platform in general or Bread.Hot Services specifically is suitable for you taking into account your personal circumstances, financial, or otherwise.
You acknowledge and agree that we provide only a technology interface that enables users to interact with blockchain networks and related smart contracts. Bread.Hot does not act as a broker, dealer, financial intermediary, investment advisor, or fiduciary, and does not participate in, control, or execute transactions on behalf of users. Bread.Hot does not create, endorse, verify, or assume responsibility for any tokens, digital assets, or projects that may be issued, listed, or traded through or in connection with the Bread.Hot Platform, nor does it monitor or control market activity relating to such assets. All transactions occur directly on public blockchain networks and are executed by users through their own wallets and private keys. Accordingly, Bread.Hot has no control over, and assumes no liability for, the operation, availability, security, or performance of blockchain networks, smart contracts, or digital assets, including any losses arising from market volatility, token value fluctuations, smart contract vulnerabilities, network failures, or other blockchain-related risks. We do not recommend that any user-generated Digital Asset be bought, earned, sold or held by you under any circumstances.
You are responsible for determining whether any user-generated Digital Asset is appropriate for you to acquire, transact in, or otherwise use on the Bread.Hot Platform or with Bread.Hot Services based on your personal investment objectives, financial circumstances and risk tolerance and you are solely responsible for any associated loss or liability. Before making the decision to buy, sell or hold any user-generated Digital Asset, you should conduct your own due diligence and about the creator of the Digital Asset and, where appropriate, consult your financial or legal advisor. We are not responsible for the decisions you make to buy, earn, sell or hold Digital Assets based on the information or services provided by us or by users themselves through the Bread.Hot Platform or Bread.Hot Services, including any losses you may incur based on your decisions. Digital asset markets are highly volatile and subject to manipulation. Bread.Hot does not control market activity and makes no representation regarding price movements.
Bread.Hot is a non-custodial technology interface. The Bread.Hot Platform does not take custody of any Digital Assets, hold private keys, execute transactions on behalf of users, or otherwise control user wallets.
Nothing on the Platform constitutes investment advice, financial advice, trading advice, or a recommendation to purchase or sell any Digital Asset.
Bread.Hot does not endorse, verify, or guarantee any token created or traded on the Platform.
Bread.Hot does not review, approve, or monitor tokens created through the Platform.
INTRODUCTION
The Bread.Hot Entities and their affiliates develop, maintain, operate, and provide access to the Bread.Hot Platform and Bread.Hot Services.
By using the Bread.Hot Platform or any of the Bread.Hot Services you are entering into a legally binding agreement with all Bread.Hot Entities and their affiliates. These Terms will govern your use of the Bread.Hot Platform and all of the Bread.Hot Services.
You acknowledge that you must read these Terms, together with the documents referenced in the Terms, carefully and are responsible for telling us if you do not understand anything.
You expressly agree that you will be bound by, and that you will comply with, any additional terms and conditions that apply to your use of the Bread.Hot Platform or any of the Bread.Hot Services.
ELIGIBILITY
To be eligible to use the Bread.Hot Platform and the Bread.Hot Services:
you must be an individual, corporation, legal person, entity or other organisation with the full power, authority and capacity to:
access and use the Bread.Hot Platform; and
enter into and comply with your obligations under these Terms, including, in the case of an individual, being of the legal age of majority in your country;
if you act as an employee or agent of a legal entity, and enter into these Terms on their behalf, you must be duly authorised to act on behalf of and bind such legal entity for the purposes of entering into these Terms;
not be located, incorporated, otherwise established in, or resident of, or have business operations in:
a jurisdiction where it would be illegal under Applicable Law for you to access or use the Bread.Hot Platform and/or Bread.Hot Services, or cause us or any third party to contravene any Applicable Law; or
a country listed in our List of Prohibited Countries.
We may amend our eligibility criteria at any time at our sole discretion. We retain the sole discretion to make changes without telling you in advance. For example, we may change these Terms without notifying you where:
we are making the change as a result of legal and/or regulatory changes;
the changes being made are in your interest; and/or
there is any other valid reason which means there is no time to give you notice.
We will let you know of the change as soon as possible after it is made by updating the “last updated” date at the top of these Terms.
You acknowledge and agree that you are responsible for checking these Terms to stay abreast of any changes related to your use, and that we may terminate your use of the Bread.Hot Platform and any of the Bread.Hot Services at any time for any reason.
BREAD.HOT PLATFORM
Usage of the Bread.Hot Platform and Bread.Hot Services is provided at our absolute discretion. We reserve the right to refuse any usage of, or restrict your access to, the Bread.Hot Platform and Bread.Hot Services for any reason, or without reason at any time.
You must not take any action or otherwise post, upload or publish to the Bread.Hot Platform any abusive, defamatory, dishonest, or obscene message or any messages intended to manipulate a market or to spread false or misleading information or messages that are otherwise in contravention of Applicable Laws. Violating this provision may result in termination of or restrictions on the availability of the Bread.Hot Platform and Bread.Hot Services to you.
FEES AND CALCULATIONS
Information regarding fees applicable to the use of the Bread.Hot Services may be displayed through the Bread.Hot Platform or otherwise made available by Bread.Hot from time to time. Bread.Hot Entities and their affiliates do not currently charge any fee for accessing the Bread.Hot Platform itself (including the Bread.Hot web application and related interfaces), but reserve the right to introduce or modify such fees in their sole discretion.
You agree to pay all applicable fees, charges, taxes, or other amounts associated with your use of the Bread.Hot Services as may be displayed or communicated through the Bread.Hot Platform at the time of the relevant transaction. Such fees may arise in connection with token creation, trading activity, bonding curve interactions, presales, liquidity migrations, buyback mechanisms, or other protocol functionality.
You expressly acknowledge that the Bread.Hot Entities do not control any fees imposed by third-party services, blockchain networks, validators, liquidity pools or other infrastructure providers that you may use in connection with the Bread.Hot Services. You remain solely responsible for any such third-party fees.
You expressly authorise Bread.Hot to deduct any applicable fees, protocol charges or other amounts payable by you from the Digital Assets involved in the relevant transaction or from the Wallet you connect to the Bread.Hot Platform, where technically feasible.
Bread.Hot may modify, introduce, or remove fees, allocations, or other economic parameters associated with the Bread.Hot Services at any time. If you do not agree to any revised fees or economic terms, you must cease using the Bread.Hot Platform. Continued use of the Bread.Hot Platform following the publication of updated fees constitutes your acceptance of such changes.
Any calculations of fees, allocations, or other economic values performed by the Bread.Hot Platform or by the relevant smart contracts in connection with your use of the Bread.Hot Services shall be final and binding in the absence of Manifest Error.
The Bread.Hot Platform may enable users to create, distribute, and trade tokens through automated smart-contract mechanisms deployed on public blockchain networks. These mechanisms may include bonding curve pricing models, presale distribution phases, liquidity migrations, buyback mechanisms, and other token economic features.
The specific parameters governing each token launch, including pricing logic, fee allocations, liquidity distribution, and buyback mechanisms, may be determined by the applicable smart contracts and displayed through the Bread.Hot Platform interface. Bread.Hot does not guarantee the performance, price behaviour, liquidity, or economic outcomes of any token launched through the Bread.Hot Platform.
Certain tokens launched through the Bread.Hot Platform may utilise an automated bonding curve mechanism under which the price of a token is determined algorithmically based on supply, demand and other variables encoded in the relevant smart contract.
Transactions involving such tokens may be subject to protocol fees, platform fees, taxes, or other allocations which may be applied automatically by the smart contracts. These allocations may include, among other things, allocations for platform fees, liquidity provisioning, or buyback mechanisms.
You acknowledge that all bonding curve pricing and transaction mechanics are determined by the underlying smart contracts and by market activity on the blockchain. Bread.Hot does not control, guarantee or stabilise token prices or market outcomes.
The Bread.Hot Platform may support presale or pre-distribution phases for certain tokens. During a presale phase, users may contribute digital assets to a smart contract in exchange for a future allocation of tokens. During the presale phase, tokens may not be tradable until the presale concludes and the token becomes available for trading under the applicable launch configuration.
Upon completion of the presale phase, funds contributed during the presale may be allocated automatically through the relevant smart contracts for purposes such as liquidity provisioning, protocol fees, buyback mechanisms, or other allocations associated with the token’s launch. Bread.Hot does not guarantee the successful completion of any presale or the creation, distribution, or value of any tokens associated with a presale.
Certain tokens launched through the Bread.Hot Platform may include buyback mechanisms, liquidity provisioning mechanisms, or other automated token economic features implemented through smart contracts. Such mechanisms may allocate a portion of transaction fees, taxes, or other protocol revenues toward purposes including:
liquidity pool provisioning;
token buybacks/burns;
protocol sustainability; and
specific smart contract-defined economic functions.
The operation of these mechanisms depends on the behavior of the underlying blockchain networks, smart contracts and market participants. Bread.Hot does not guarantee that any buyback, liquidity or similar mechanism will achieve any particular economic outcome.
RECORDS
We keep your personal data to enable your continued use of the Bread.Hot Platform and Bread.Hot Services, including as may be required by law for tax and accounting purposes as well as compliance with other laws and regulations. You understand and agree that our use of and your rights related to your data are set forth in our Privacy Notice.
ACCESSING THE BREAD.HOT PLATFORM
To access the Bread.Hot Platform and Bread.Hot Services, you must have the necessary equipment (such as a computer or smartphone) and access to the internet. You can access the Bread.Hot Platform and Bread.Hot Services through the use of bots or otherwise as we may permit from time to time, as long as such access otherwise complies with all requirements and rules established in these Terms.
The use of the Bread.Hot Platform and other access methods may be subject to such additional terms as we require from time to time and which we will communicate to you.
TRANSACTIONS
You acknowledge and agree that where you execute any Transaction with Improper Intent and/or in the case of Manifest Error, Bread.Hot is authorised by you (without any payment or penalty or liability due by Bread.Hot and provided that such action is in compliance with Applicable Law) to cancel/void such Transaction (to the extent possible), take such actions as Bread.Hot may reasonably deem fit and treat such Transaction as if it had never been entered into.
We may be required under these Terms or Applicable Law to share information about your activities on the Bread.Hot Platform with third parties and within the Bread.Hot Group. You acknowledge and agree that we are entitled to disclose such information.
Hackathon Terms.
This Clause applies to the Build in Public Hackathon, or any subsequent hackathons organised using the Bread.Hot web domain or by a Bread.Hot Entity (collectively, a “Hackathon”). Nothing this Clause should be construed as limiting or modifying any other term herein.
By registering for or participating in the Hackathon, you unconditionally accept and agree to comply with and be bound by these Terms of Use, the Privacy Policy, and any other rules, guidelines, or policies referenced herein or communicated by any Bread.Hot Entity. By attempting to register for a Hackathon you are a “Participant” in a Hackathon, regardless of whether you are successfully registered or participate further in a Hackathon.
General Eligibility:
Participants must be 18 years of age or older.
Participants must be legally able to participate in the Hackathon in their jurisdiction.
Participants representing enterprise organizations must have a purchasing entity based in a jurisdiction in which participating in the Hackathon is permitted, and the purchase and sale of digital assets is permitted.
Exclusions:
Employees, contractors, directors, and officers of any Bread.Hot Entity, and immediate family members (spouse, parents, siblings, and children) and/or those living in the same household of each such person are not eligible to participate.
Individuals who have violated these Terms of Use at any point are ineligible.
Team Participation:
Participants may participate individually or as part of a team.
All team members must meet the individual eligibility requirements.
Each team must designate a team leader who will be the primary point of contact for the Hackathon.
Registration Process: Participants must register online through the official Hackathon website or form. All required information must be provided accurately and completely. Registrants must first receive and acknowledge confirmation sent to them through Telegram or a similar messaging application once they have been accepted, before they can participate in the Hackathon.
Participation Requirements:
Participants must have access to their own hardware, software, and Internet connectivity, unless otherwise specified by the specific organizer of the Hackathon (the “Organizer”).
Participants must adhere to the Hackathon schedule and deadlines, as modified by the Organizer in its sole discretion.
Code of Conduct and Fair Play
Respect and Inclusivity: All participants are expected to conduct themselves professionally and respectfully. Discrimination, harassment, or any form of abusive behavior towards other participants, judges, mentors, or organizers will not be tolerated.
Originality: All submitted projects must be original work created during the Hackathon period. Pre-existing code or components are permitted only if they are publicly available and properly attributed (e.g., open-source libraries, APIs). Significant portions of the project must be developed during the Hackathon.
No Cheating: Any form of cheating, including but not limited to, plagiarism, submitting work not created by the team, or any attempt to unfairly gain an advantage, will result in immediate disqualification.
Compliance with Laws: Participants must comply with all applicable local, national, and international laws and regulations.
Data Privacy: Participants must respect the privacy of others and comply with all applicable data protection laws.
Consequences of Violations: The Organizer reserves the right to disqualify any participant or team who violates these Terms and Conditions or engages in any conduct deemed disruptive, unethical, or harmful to the Hackathon. Disqualified participants will forfeit any prizes.
Disqualification: The Organizer reserves the right to disqualify any submission that does not meet the specified requirements, violates these Terms, or is deemed inappropriate or offensive.
Intellectual Property
Participant Ownership: Participants retain all ownership and intellectual property rights in their submitted projects and any underlying code, designs, or content created during the Hackathon, subject to the licenses granted herein.
License to Organizer: By submitting a project, participants grant the Organizer and its partners a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and transferable license to:
Use, reproduce, distribute, display, perform, and create derivative works of the submitted project (including code, documentation, and presentations) for purposes related to the Hackathon, including but not limited to:
Showcasing winning projects on the Hackathon or Bread.Hot website, social media, and promotional materials.
Internal evaluation and review.
Demonstrating the outcomes of the Hackathon to stakeholders.
Use Participants' names, likenesses, and biographical information in connection with the Hackathon and its promotion.
Third-Party IP: Participants are responsible for ensuring that their projects do not infringe upon the intellectual property rights of any third party. If a project incorporates third-party code or assets, participants must ensure they have the necessary licenses or permissions for such use and must clearly attribute all third-party intellectual property.
Confidentiality: The Organizer does not guarantee the confidentiality of any submitted project. Participants should only submit information that they are comfortable making public.
Hackathon projects will be judged in the sole and absolute discretion of the Organizer or the Organizer’s designee. The Participant waives all claims related to prizes and results of the Hackathon.
Disclaimer of Warranty; Limitation of Liability
No Warranties: THE HACKATHON AND ALL PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ORGANIZER, THE BREAD.HOT ENTITIES, THEIR AFFILIATES, SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (COLLECTIVELY, THE "ORGANIZER PARTIES") SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE HACKATHON; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE HACKATHON; (III) ANY CONTENT OBTAINED FROM THE HACKATHON; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT THE ORGANIZER PARTIES HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
NOTWITHSTANDING THE FOREGOING, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE ORGANIZER PARTIES, INCLUDING THEIR AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, ARISING OUT OF OR RELATING TO THE PLATFORM, THE HACKATHON, OR THESE TERMS, FOR ALL CLAIMS IN THE AGGREGATE, SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY YOU TO BREAD.HOT; OR (II) ONE HUNDRED UNITED STATES DOLLARS (USD 100). THE LIMITATIONS IN THIS CLAUSE APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND APPLY TO ANY CLAIMS RELATING TO THE LOSS OF DIGITAL ASSETS, TOKENS, CRYPTOCURRENCIES, DATA, PROFITS, OR OTHER INTANGIBLE LOSSES.
Force Majeure: The Organizer and the Bread.Hot Entities are not responsible for any inability to hold the Hackathon, or to award prizes, due to delays or failures caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, strikes, or technical failures.
Indemnification. You agree to indemnify, defend, and hold harmless the Organizer Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
Your participation in the Hackathon.
Your violation of these Terms and Conditions.
Your violation of any rights of another, including but not limited to intellectual property rights.
Any project or content you submit.
Any claims arising from tokens created, issued, promoted or traded by the user.
Privacy Policy. Your participation in the Hackathon is also governed by the Bread.Hot Entities’ privacy policy. By participating, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
Prize Conditions. The Organizer and Bread.Hot Entities do not guarantee that any Participant will be eligible for any particular prizes in connection with a Hackathon. Participants waive all claims relating to the receipt of a prize in connection with the Hackathon.
Equity and Funding. To the extent that a Hackathon prize consists of an offer of a cash investment in a Participant (an “Investment Prize”), the following terms apply in addition to the other terms herein:
All cash awards in connection with an Investment Prize are contingent and dependent upon the separate execution and agreement to invest by a Bread.Hot Entity or an affiliate. Such agreement is not guaranteed, and shall be governed by its own terms.
Investment Prizes are subject to due diligence by the Bread.Hot Entity making the investment, and failure of diligence shall be determined by the relevant Bread.Hot Entity in its sole and absolute discretion.
Any Participant receiving an Investment Prize shall have organized an entity (the “Participant Entity”) which is capable of lawfully making all representations and warranties consistent with an investment in that entity, as determined by the relevant Bread.Hot Entity.
The Participant Entity shall have acquired sufficient amounts of any token related to the Participant project as a condition precedent to any Investment Prize.
The Participant Entity shall have no owners except for Participants who have participated in the Hackathon as a team. All such owners shall have an ownership stake in the Participant Entity that is contingent upon service based vesting in a manner which the relevant Bread.Hot Entity determines is consistent with its investment goals.
To the greatest extent practicable, the relevant Bread.Hot Entity will grant the Investment Prize according to standard terms, and using standard documents. All investments by a Bread.Hot Entity shall only be made if such investments may be made in a fashion which complies with applicable laws and regulations, in the sole discretion of the relevant Bread.Hot Entity, including, but not limited to, securities laws and regulations, consumer protection laws, and money transmission laws and regulations.
To the extent that these Terms conflict with an investment document, the terms of that investment document shall apply.
Participants are responsible for obtaining their own independent legal advice regarding the Prize Investments. The Bread.Hot Entities and Organizers do not provide legal advice to Participants.
Token Launches. In the event that Hackathon requires or involves a token launch, the following terms shall apply:
Participants shall only launch a token in connection with a Hackathon if that token launch complies with all applicable laws and regulations. Participants are solely responsible for determining if a token launch complies with applicable laws and regulations.
Participants may acquire tokens in connection with their Hackathon project, however, there is no requirement that Participants acquire any token for any purposes.
Participants shall not issue, sell, distribute, lend, enter into forward contracts, derivatives, or otherwise transfer or alienate any tokens using the Platform in transactions intended to raise capital or otherwise fund an ongoing business of the Participants.
Participants are responsible for obtaining their own independent legal advice regarding the launch, sale or distribution of tokens using the Platform. The Bread.Hot Entities and Organizers do not provide legal advice to Participants.
Tokenized Agent
Tokens created using the Tokenized Agent are subject to additional terms here.
SUBMISSION OF INSTRUCTIONS
Instructions are transactions or commands executed on the Solana blockchain using the Bread.Hot Platform and Bread.Hot Services. You must ensure that any Instruction submitted is complete and accurate. We are not required to verify the accuracy, authenticity or validity of any Instruction and will not monitor or reject Instructions on the basis that they are, or appear to be, duplicates. In our sole, absolute discretion, we may refuse to act upon or defer acting upon any Instruction, or seek further information with respect to the Instruction.
You acknowledge and agree that Instructions are irrevocable and therefore once an Instruction has been submitted you have no right to unilaterally rescind or withdraw it. Your Instruction is not deemed to be received by us until it has been received by our server. Our record of all Instructions will be conclusive and binding on you for all purposes.
By submitting an Instruction you are authorising us to initiate transaction(s) using your Wallet on the Solana blockchain. We are therefore authorised to credit or debit (or provide information to third parties for the purposes of the third party crediting or debiting) your Digital Assets from your Wallet in accordance with your Instruction. If you have insufficient Digital Assets in your Wallet to effect the Transaction (i.e. less than the required amount to settle the Transaction and to pay all the fees associated with the Transaction), then we have the right to refuse to effect any Transaction. Bread.Hot Entities and affiliates may also refuse to act on instructions to the extent permitted by these Terms. It is your responsibility to hold sufficient Digital Assets in your Wallet.
You are aware that Instructions and information transmitted on the Bread.Hot Platform or by email are generally transmitted via the internet and may be routed via public, transnational installations which are not specifically protected. We cannot guarantee that the Instructions and information transmitted will be completely protected against unauthorised access, and you accept the associated risks. Our privacy practices and your rights are disclosed in our Privacy Notice.
TRANSACTIONS
We do not represent or warrant that any actions by you on the Bread.Hot Platform or use of the Bread.Hot Services will be completed successfully or within a specific time period. By accessing and using the Bread.Hot Platform and Bread.Hot Services, you represent that you understand that smart contract transactions, like the ones conducted through the Bread.Hot Platform and Bread.Hot Services, automatically execute and settle, and that blockchain-based systems are variable and transaction speeds may increase dramatically at any time. Bread.Hot does not control or guarantee the operation of such contracts nor controls any underlying blockchain networks.
You expressly agree that the Bread.Hot Entities and affiliates are permitted, but not required, to keep a record of all Transaction information related to use of the Bread.Hot Platform and Bread.Hot Services. You further agree that we may keep this information, if we collect it, for as long as it is required to fulfill its intended purpose or any other period of time as required by Applicable Law.
MATERIAL INTERESTS AND CONFLICTS
You understand and agree that neither your relationship with us nor any services we provide to you, nor any other matter, will give rise to any duties on our part or on the part of any Bread.Hot Entity or affiliate, whether legal, equitable, fiduciary in nature, save as are expressly set out in these Terms. In particular, Bread.Hot Entities and affiliates may from time to time act in more than one capacity, and in those capacities we may receive fees or commissions from more than one user (including you). You agree that we may act in such capacities and provide any other services or carry out any business with or for you, any other Bread.Hot Entity or affiliate or any other user.
You understand and agree that, except as required under our Privacy Notice, the Bread.Hot Entities and affiliates will not be required to: (i) have regard to any information known to us, which is or may be a material interest; (ii) disclose any such information to you; or (iii) use any such information for your benefit. You further acknowledge that from time to time we may receive general market information in the course of providing access to the Bread.Hot Platform and Bread.Hot Services to you, which we may use in the ordinary course of our business.
We have established and maintain effective organisational and administrative arrangements with a view to taking all appropriate steps to identify and manage conflicts of interest between us and our users and relevant third parties, so as to prevent conflicts of interest from adversely affecting the interests of our users. We reserve the right at all times to decline to act for you where we are not able to manage a conflict of interest in any other way.
You understand that from time to time we may transact using the Bread.Hot Platform. We are under no obligation to disclose any of our transactions on the Bread.Hot Platform.
TRANSACTION LIMITS
Your activity on the Bread.Hot Platform and use of the Bread.Hot Services may be subject to limits that we shall determine from time to time in our sole discretion.
SECURITY
You are responsible for taking appropriate action to protect your hardware and data from viruses and malicious software, and any inappropriate material. Except as provided by Applicable Law, you are responsible for backing up and maintaining duplicate copies of any information related to your use of the Bread.Hot Platform and Bread.Hot Services. The Bread.Hot Entities and affiliates are not responsible for any claim or losses resulting from your failure to comply with this clause.
At all times, you, and anyone you permit to access the Bread.Hot Platform and Bread.Hot Services using your Wallet (“Permitted Users”), shall maintain adequate security and control of all of the information used to access the Bread.Hot Platform and Bread.Hot Services. You are responsible for taking the necessary security measures to protect such details, including by:
strictly abiding by all of our mechanisms or procedures;
never allowing remote access or sharing your computer and/or computer screen with someone else when you are logged into the Bread.Hot Platform or are using the Bread.Hot Services;
remembering that under no circumstances will we ask you to share any of your passwords or 2-factor authentication codes or similar. You should never disclose these if asked.
You are solely responsible for keeping the information used to access the Bread.Hot Platform and Bread.Hot Services secure against any attacks and unauthorised access.
It is important that you monitor your Activity History to ensure any unauthorised or suspicious activity on your account is identified. You agree that you are required to notify us as soon as possible of any suspicious activity involving the Wallet you use to access the Bread.Hot Platform and Bread.Hot Services. You acknowledge that any Security Breach may result in unauthorised access to your Wallet by third parties and the loss or theft of any Digital Assets and/or funds from your Wallet and any associated Wallets or accounts.
If you suspect a Security Breach, you must ensure that:
we are notified immediately and continue to be provided with accurate and up-to-date information throughout the duration of the Security Breach;
you take any other steps that we may reasonably require to reduce, manage or report any Security Breach.
We reserve the right to request, and you agree to promptly provide, any and all information and documents we deem relevant or necessary in connection with an actual or suspected Security Breach. You further acknowledge and agree that we may provide such information to any third party that we deem necessary in order to investigate or resolve any Security Breach.
PRIVACY
Our collection and use of personal data in connection with these Terms, your access to the Bread.Hot Platform, and use of the Bread.Hot Services is as provided in our Privacy Notice (as updated from time to time). You acknowledge that we may process personal data in relation to you, that you have provided to us, or we have collected from you in connection with these Terms and our Privacy Notice. Your personal data will be processed in accordance with the Privacy Notice, which shall form part of these Terms.
13.2. You represent and warrant that:
you acknowledge that you have read, understood, and agree to our Privacy Notice.
our business changes regularly and our Privacy Notice will change also. Therefore, if from time to time we provide you with a replacement version of the Privacy Notice, you will promptly read the Privacy Notice.
AMENDING THE TERMS
We can make changes to these Terms and any terms and conditions incorporated by reference at any time and your continued use of the Bread.Hot Platform and Bread.Hot Services constitutes your consent to such changes. Changes to these Terms will be published on our website and may also be notified to users by such other means as Bread.Hot Entities and affiliates determine in their sole discretion. You acknowledge and agree that you are required to check these Terms periodically to ensure that you are aware of any and all changes.
If you do not wish to accept these Terms or any future modified Terms, you must cease use of the Bread.Hot Platform and Bread.Hot Services. Your continued access to or use of the Bread.Hot Platform and Bread.Hot Services shall be deemed acceptance of the updated Terms.
TERMINATION, SUSPENSIONS, RESTRICTIONS
We may at any time modify or discontinue, temporarily or permanently, any portion or feature of the Bread.Hot Platform or Bread.Hot Services. In particular, we may: (i) refuse to complete or block, cancel, or, where permitted by Applicable Law, reverse (to the extent possible) any action you have undertaken; (ii) terminate, suspend, or restrict your access to any or all of the Bread.Hot Platform and Bread.Hot Services; (iii) refuse to transmit information or Instructions to third parties (including but not limited to third-party Wallet operators); and/or (iv) take whatever action we consider necessary, in each case with immediate effect and for any reason including, but not limited to where:
you are not, or are no longer, eligible to use the Bread.Hot Platform and Bread.Hot Services;
we reasonably suspect that:
the person connecting to the Bread.Hot Platform or Bread.Hot Services with your Wallet is not you, or we suspect that you have been or will be using the Bread.Hot Platform or Bread.Hot Services for any illegal, fraudulent, or unauthorised purposes;
information provided by you is wrong, untruthful, outdated, or incomplete.
we reasonably consider that we are required to do so by Applicable Law, or any court or authority;
we have determined or suspect:
that you have breached these Terms;
that any activity is unauthorised, erroneous, fraudulent, or unlawful or we suspect the Bread.Hot Platform, Services or Wallet are being used as such;
there is any occurrence of money laundering, terrorist financing, fraud or any other crime in connection with your usage;
your usage is subject to any pending, ongoing or threatened litigation or regulatory proceedings;
you have taken any action that may circumvent our controls without our consent;
there is any other valid reason which means we need to do so.
You acknowledge and agree that:
the examples set out above are non-exhaustive; and
our decision to terminate, suspend, or restrict access may be based on confidential criteria that are essential to our risk management and security protocols. We are under no obligation to disclose these to you.
Where we terminate, suspend, hold or restrict your access:
if you have Instructions or Transactions that are open, they may be closed by you or by us depending on the circumstances;
you authorise us to deduct any unpaid costs and fees directly from assets in the Wallet you connected.
If we are informed and reasonably believe that any Digital Assets in your Wallet are stolen or not lawfully possessed by you (whether by error or otherwise), we may, but are not obligated to, terminate your usage of the Bread.Hot Platform and Services. Except where required by law, we will not become involved in any dispute relating to such assets or their origin.
BREAD.HOT IP
All Bread.Hot IP shall remain vested in Bread.Hot Entities and their affiliates. At no point do users of the Bread.Hot Platform or Bread.Hot Services obtain any right to Bread.Hot IP unless expressly provided by these Terms.
LICENCE OF BREAD.HOT IP
We grant to you a non-exclusive licence for the duration of these Terms, or until we suspend or terminate your usage of the Bread.Hot Platform and Bread.Hot Services, whichever is sooner, to use the Bread.Hot IP, excluding the Bread.Hot Trade Marks, solely as necessary to allow you to access and use the Bread.Hot Platform and Bread.Hot Services for non-commercial personal or other use, in accordance with these Terms.
LICENCE OF USER IP
You grant to us a perpetual, irrevocable, royalty-free, worldwide and non-exclusive licence to use the User IP to the extent it:
forms part of, or is necessary for the use of, any Created IP; and
is necessary to allow us to provide you with access to the Bread.Hot Platform and Bread.Hot Services.
The licence granted by you under this clause includes our right to sub-license to a third party to the extent required to enable Bread.Hot Entities and any affiliates to provide you with access to the Bread.Hot Platform and to enable use of any Bread.Hot Services, or any part of them.
CREATED IP
The Created IP shall automatically vest in us from time to time on the date on which it is created.
You hereby assign to us (and agree to procure that any agents, representatives or contractors assign), with full title guarantee, title to all present and future rights and interest in the Created IP.
If requested to do so, you shall (and agree to procure that any agents, representatives or contractors shall), without charge to us, sign and/or execute all documents and do all such acts as we may require to perfect the assignments under this clause.
GENERAL
You agree and acknowledge that: (i) we are not responsible for any User Material (whether provided by you or by third parties) which may be used on, uploaded to or made available on the Bread.Hot Platform and Bread.Hot Services, including user-generated Digital Assets; and (ii) use of any such User Material and user-generated Digital Assets is at your own risk and that we do not provide any warranties in relation to the same.
We shall have the right at our sole and absolute discretion to remove, modify or reject any content that you submit to, post, use or display on the Platform (including any User Material and user-generated Digital Assets) for any reason. We reserve the right to take any actions as we deem appropriate at our sole discretion, including giving a written warning to you, removing any User Material and user-generated Digital Assets, recovering damages or other monetary compensation from you, suspending or terminating your access to the Bread.Hot Platform and Bread.Hot Services. We have the right to restrict or ban you from any and all future use of the Bread.Hot Platform and Bread.Hot Services.
You agree that we may record any communications, electronic, by telephone, over video call, chat, VOIP or otherwise, that we have with you in relation to these Terms, and that any such record that we keep will constitute evidence of the communications between you and us. You agree that telephone conversations and video calls may be recorded so that we can respond to inquiries, ensure compliance with applicable laws, improve our services and provide customer support.
PROHIBITED USE
By using the Bread.Hot Platform and Bread.Hot Services, including carrying out any Transaction, and without prejudice to any other restriction or limitation set out in these Terms, you agree that you will not:
breach these Terms or any agreement entered into pursuant to them;
use the Bread.Hot Platform and/or Bread.Hot Services in a manner that violates our Prohibited Use Policies, including our Livestream Content Moderation Policy, DMCA Guidelines, and/or Trademark Guidelines;
use the Bread.Hot Platform and/or Bread.Hot Services for commercial purposes, including transactions on behalf of other persons or entities, unless expressly agreed by us in writing;
engage in market manipulation, including Bread.Hot and dump schemes, wash trading, or any activity designed to control or artificially affect the price of any Digital Asset;
engage in fraudulent activities, or cause us to suspect that you have done so;
undertake activities that may result in disputes, chargebacks, penalties, or liability to any party;
provide false, inaccurate or misleading information in connection with your use;
use bots, spiders, deep links, or other tools to access or copy data from the Bread.Hot Platform in unauthorized ways;
attempt unauthorized access, probe, scan or test vulnerabilities of the Platform;
reverse-engineer or otherwise attempt to extract source code or intellectual property;
copy, republish, or otherwise exploit any part of Bread.Hot IP or services;
spread malware, spyware, or any software designed to harm systems or users;
use anonymizing proxies, spoof IPs, or manipulate system behaviors;
create or purport to create any security interest over your user-generated Digital Assets;
violate any Applicable Law or third party IP or privacy rights;
access or attempt to access the Bread.Hot Platform or Services from any prohibited or sanctioned jurisdictions (including Cuba, Iran, North Korea, Syria, Russia).
REPRESENTATIONS AND WARRANTIES
You hereby represent and warrant to us, at all times, the following:
all decisions made in connection with these Terms were solely and exclusively based on your own judgement;
you have full power, authority, and capacity to (i) access and use the Bread.Hot Platform and Bread.Hot Services; and (ii) enter into and perform your obligations under these Terms;
where participating in user-generated Digital Assets, you have independently assessed such assets and are using no more of your financial resources than is prudent and reasonable;
all consents, approvals, and registrations required to use the Bread.Hot Platform and Services have been lawfully obtained;
you either (i) have enforceable rights to use any images and IP uploaded to the Bread.Hot Platform, or (ii) have obtained all necessary permissions to do so;
these Terms constitute valid and legally binding obligations enforceable against you;
if you are a legal entity, you are duly incorporated and validly existing under your jurisdiction’s laws;
your access and use of the Bread.Hot Platform and Services will not:
breach your constitutional documents if you are a legal entity;
breach any instrument or agreement you are a party to; and
cause any party to breach any Applicable Law or legal decision.
TECHNOLOGY DISCLAIMERS
The Bread.Hot Platform and Bread.Hot Services are provided on an "as is" and "as available" basis without any representation or warranty, whether express or implied, to the maximum extent permitted by Applicable Law. We specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that access to the Bread.Hot Platform or Services will be continuous, uninterrupted, timely, or error-free. Delays, service interruptions, and time-sensitive transaction failures may occur.
Access may be suspended from time to time for scheduled or emergency maintenance. We make no guarantees regarding processing times for Transactions, which may vary due to blockchain conditions or other external factors.
Although we strive to ensure up-to-date content, we make no representations, warranties, or guarantees that the content on the Bread.Hot Platform is accurate, complete, or current.
Links to third-party websites are provided as a convenience. We do not control and are not responsible for the content or services available on any third-party sites.
You are responsible for obtaining the necessary network access to use the Bread.Hot Platform and Services, and for ensuring your devices are compatible. We do not guarantee operation across all devices and platforms.
INDEMNITY
You hereby undertake and agree to indemnify us and hold us harmless upon demand from and against any claims, suits, actions, demands, disputes, allegations, or investigations brought by any and all persons or entities, including third-parties, governmental authorities, and industry bodies, as well as all claims, liabilities, damages (actual and consequential), losses (including direct, indirect, or consequential), costs, and expenses, including all interest, penalties and legal or other reasonable attorneys' fees and professional costs ("Losses"), arising out of or in any way connected with:
your access to or use of the Bread.Hot Platform and Bread.Hot Services;
your breach or alleged breach of these Terms;
any claims arising from tokens created, issued, promoted or traded by the user;
your contravention of any Applicable Law; and
your violation of the rights (intellectual property or otherwise) of any third party.
You irrevocably and unconditionally agree to release us from any and all claims and demands (and waive any rights you may have now or in the future), arising directly or indirectly out of or in connection with any dispute you have with another user or third party, connected in any way with the Bread.Hot Platform, Bread.Hot Services, or these Terms.
LIABILITY
The Bread.Hot Entities and affiliates are not responsible for any loss suffered by you or any third party, except where such loss arises solely and directly from our wilful misconduct or actual fraud. We are not liable for any loss related to user-generated Digital Assets.
Our total liability to you under any circumstance will not exceed the amount of fees you paid to us for the transaction giving rise to the claim. This amount shall represent full and final settlement of any claim. The limitations in this Clause apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and apply to any claims relating to the loss of digital assets, tokens, cryptocurrencies, data, profits, or other intangible losses.
You agree that we are unaware of your specific circumstances and that monetary damages are an adequate remedy. You are not entitled to remedies such as injunction or specific performance.
We are not liable for:
direct or indirect losses arising from actions, delays, market fluctuations, technical failures, third-party behavior, or smart contract execution;
loss of profits, opportunities, or business due to use or inability to use the Bread.Hot Platform;
any error, Manifest Error, market volatility, or cancellation of a transaction;
any claim brought more than one year after the cause of action arose.
We are not liable for malware, phishing, or spoofing attacks. You are responsible for using antivirus software and for protecting access credentials to your Wallet and devices.
GOVERNING LAW
These Terms and any dispute, controversy, or claim arising out of or in connection with them (including any non-contractual obligations arising out of or in connection with them) shall be governed by and construed in accordance with the laws of England and Wales.
DISPUTE RESOLUTION; ARBITRATION
PLEASE READ THIS CLAUSE CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT PROVIDES THAT MOST DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF THE BREAD.HOT PLATFORM WILL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT, SUBJECT TO LIMITED EXCEPTIONS. BY AGREEING TO THESE TERMS, YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU ALSO WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING THAT MAY BE PERMITTED TO PROCEED IN COURT.
Agreement to Arbitrate. Except for disputes in which Bread.Hot seeks injunctive or other equitable relief in connection with the protection of its intellectual property rights or misuse of the Bread.Hot Platform, any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the Bread.Hot Services (each, a “Dispute”) shall be resolved exclusively by binding arbitration in accordance with this Clause 27. To the fullest extent permitted by applicable law, you agree that such Disputes shall not be brought before any court or jury, and that arbitration shall be the sole and exclusive method for resolving such Disputes. You expressly waive any right to a trial by jury to the fullest extent permitted by applicable law.
Informal Dispute Resolution. You must notify us in writing of any Dispute within thirty (30) days of its arising. You agree to engage in a good faith informal resolution process, including at least one telephonic conference before proceeding to formal arbitration.
Arbitration Procedure. Any Dispute shall be referred to and finally resolved by arbitration under the LCIA Arbitration Rules, which Rules are deemed to be incorporated by reference into this clause.
The arbitration shall be conducted by a single arbitrator appointed in accordance with the LCIA Rules.
The seat of arbitration shall be London, England.
The language of the arbitration shall be English.
The arbitration shall be conducted on a confidential basis, except to the extent disclosure is required by law or necessary to enforce or challenge the award
Individual Proceedings Only. To the fullest extent permitted by applicable law, any arbitration or other proceeding shall be conducted solely on an individual basis. Class actions, class arbitrations, representative proceedings, and similar collective actions are not permitted.
Consolidation. Where appropriate and permitted under the LCIA Rules, the arbitrator or the LCIA Court may consolidate arbitrations or coordinate proceedings where multiple claims share common issues of fact or law.
Multiple or Mass Claims. If a large number of similar Disputes are brought against Bread.Hot or any of its affiliates by the same or coordinated counsel or parties arising out of the same or substantially similar circumstances, the arbitrator may adopt procedures designed to ensure the efficient and fair resolution of such claims, including the selection of representative test cases to proceed first.
Severability. If any provision of this Clause 27 is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
Authority of the Arbitrator. The arbitrator shall have the exclusive authority to determine the existence, scope, validity, and arbitrability of any Dispute, including any objection relating to the formation or enforceability of this arbitration agreement.
Survival: This arbitration agreement shall survive termination or expiration of these Terms.

These Terms constitute the whole agreement between you and the Bread.Hot Entities and affiliates.
You may not assign your rights without our prior written consent. We may assign ours freely.
If any clause is found invalid, the remainder of the Terms remains in effect.
We may record communications with you, including calls and messages, as evidence and for support.
In case of conflict, the English version of the Terms prevails over any translations.
These Terms do not create third-party beneficiary rights.
Provisions that naturally survive termination will remain binding.
These Terms do not establish a partnership, joint venture, or agency relationship.
We are not liable for delay or failure to perform due to a Force Majeure Event.
No delay or omission in enforcing rights shall waive future enforcement.
We may set-off amounts you owe us; you must pay what you owe free from deductions or counterclaims.
If you receive another user’s information, you must keep it confidential and only use it lawfully.
If you breach these Terms, we may disclose the breach and related information for user safety.
You are responsible for determining and paying all applicable taxes related to your use of the Bread.Hot Platform and Services.
WALLETS
The Wallet that you may generate when logging in to the Bread.Hot Platform for the first time is provided by Privy.io and shall remain the responsibility of Privy.io and you. You acknowledge that Privy.io is not affiliated with any Bread.Hot Entities or affiliates and you are solely responsible for reading and understanding Privy.io's terms and conditions as it relates to the Wallet you generate using their service. Bread.Hot Entities and affiliates have no control over your Wallet, however generated, or the private keys to it.
None of the Bread.Hot Entities or affiliates shall be responsible for the operation or features of the Wallet or be liable for any losses or damage incurred or suffered directly or indirectly as a result of using the Wallet.
DEFINITIONS AND INTERPRETATION
In these Terms:
Clause headings and numbering are for convenience only and do not affect the meaning or interpretation.
“Include” and “including” mean without limitation.
Any obligation not to do something includes not permitting it to be done.
31.4. Words in the singular include the plural and vice versa; words referring to gender include all genders.
References to documents include any variations or amendments not in breach of these Terms.
In case of inconsistency:
the Privacy Notice prevails over these Terms.

Capitalized terms shall have the meanings assigned in the Terms unless context requires otherwise.
Defined Terms
"Activity History" means the record of your Transactions and activity on the Bread.Hot Platform and Services.
"Applicable Law" means all relevant laws, regulations, rules, and legal requirements in any jurisdiction applicable to the provision or use of the Bread.Hot Platform or Services.
"Backed Digital Assets" means Digital Assets that claim to be backed or pegged to another asset, such as fiat, commodities, or other cryptocurrencies.
"Claim" means any dispute or legal controversy between you and Bread.Hot Entities relating to these Terms, your use of the platform, or related non-contractual obligations.
"Control" means power to direct the affairs of an entity, including majority ownership, board appointment rights, or equivalent authority.
"Digital Assets" means digitally represented value stored and transferred via distributed ledger technologies, including cryptocurrencies, NFTs, and tokenized derivatives.
"Force Majeure Event" means any event or circumstance beyond the reasonable control of Bread.Hot that prevents, delays, or materially impairs the performance of its obligations under these Terms, including but not limited to acts of God, natural disasters, earthquakes, floods, fires, war, terrorism, civil unrest, governmental actions or sanctions, epidemics or pandemics, failures or disruptions of telecommunications or internet infrastructure, power outages, cyberattacks, failures of hosting or cloud service providers, blockchain network congestion or failure, smart contract vulnerabilities, or other major technical failures affecting the operation of the Bread.Hot Platform or underlying blockchain networks.
"Improper Intent" means behavior deemed fraudulent, abusive, or manipulative by Bread.Hot, including unfair advantages and market manipulation.
"Instruction" means any command submitted by you to the Bread.Hot Platform to execute a Transaction.
"Intellectual Property Rights" means copyrights, patents, trademarks, design rights, and any other similar rights worldwide.
"List of Prohibited Countries" means high-risk jurisdictions such as Cuba, Iran, North Korea, Syria, and others under international sanctions.
"Losses" as defined in Clause 24.1, means direct and indirect damages, costs, and legal fees.
"Manifest Error" means obvious mistakes in data or actions that are clear and indisputable.
"Network Event" means events on a blockchain (e.g., 51% attacks or chain reorganizations) that compromise Digital Asset records or control.
"Privacy Notice" means the document outlining how we collect, use, and protect your personal data, located at /privacy-policy.
"Bread.Hot Entity" means Bread.Hot and other affiliated entities behind the Bread.Hot Platform and Services.
"Bread.Hot IP" means all intellectual property owned or licensed by Bread.Hot Entities related to the Bread.Hot Platform and Services.
"Bread.Hot Platform" means the digital interface and system through which users access Bread.Hot Services.
"Bread.Hot Services" means tools and offerings provided by Bread.Hot, such as digital asset creation, trading, and livestreaming.
"Regulatory Authority" means any relevant national or international regulator, court, tax authority, or government body.
"Security Breach" means any unauthorized access or cyberattack affecting you, Bread.Hot, or the Bread.Hot Services.
"Sites" means the website and all other online interfaces operated by Bread.Hot.
"Terms" means the full Terms of Use agreement, including referenced documents and future amendments.
"Trade Marks" means all logos, branding, and service marks used in connection with the Bread.Hot Platform.
"Transaction" means the creation, buying, or selling of Digital Assets on or through the Bread.Hot Platform.
"User-Created IP" means intellectual property created by you using the Bread.Hot Platform, except for content created prior to acceptance of these Terms.
"User-Generated Digital Asset" means a Digital Asset created by a user via Bread.Hot Services.
"User Materials" means all content (e.g., Digital Assets, posts, images) that you upload or create via the Bread.Hot Platform.
"Wallet" means the digital wallet you connect to the Bread.Hot Platform, including those generated through Privy.io.
"Website" means the official Bread.Hot website at bread.hot
